# PerfectOpponent — Terms of Use

Welcome to PerfectOpponent. By accessing or using the PerfectOpponent website, mobile application, or related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service.

## 1. The Service

PerfectOpponent provides software and related services designed to help teams, clubs, leagues, coaches, and administrators identify potential opponents, coordinate scheduling, and manage game-related activities.

PerfectOpponent does not organize, supervise, sanction, officiate, host, or guarantee any game, event, facility, participant, or outcome.

## 2. Eligibility

You must be at least 18 years old and authorized to act on behalf of a team, club, league, or organization to create an account and use the Service.

The Service is intended for adult users. Children may participate in events scheduled through the Service but may not create accounts or independently use the Service.

## 3. Account Responsibility

You are responsible for:

* Maintaining the accuracy of your account information.
* Maintaining the confidentiality of your account credentials.
* Activities that occur under your account.
* Ensuring that information you submit is accurate and current.

You agree not to share your account with unauthorized individuals.

## 4. User Conduct

You agree not to:

* Violate any applicable law or regulation.
* Impersonate another person or organization.
* Submit false or misleading information.
* Interfere with the operation or security of the Service.
* Attempt unauthorized access to any account, system, or data.
* Use automated tools to scrape, copy, or harvest information from the Service without authorization.

## 5. Match Recommendations

PerfectOpponent may use algorithms, statistical models, machine-learning systems, ratings data, and user-provided information to recommend opponents, facilities, schedules, or opportunities.

Recommendations are informational only.

Users remain solely responsible for evaluating, confirming, and approving any game, event, facility, travel arrangement, or scheduling decision.

PerfectOpponent does not guarantee:

* Competitive balance
* Game quality
* Availability
* Attendance
* Safety
* Event outcomes

## 6. User Content

You retain ownership of information you submit to the Service.

By submitting information, you grant PerfectOpponent a non-exclusive, worldwide license to use, process, store, display, and distribute that information solely for the purpose of operating, improving, and providing the Service.

## 7. Intellectual Property

The Service, including software, designs, trademarks, logos, graphics, algorithms, content, and related intellectual property, are owned by PerfectOpponent or its licensors and are protected by applicable intellectual property laws.

No rights are granted except those expressly stated in these Terms.

## 8. Third-Party Services

The Service may integrate with or rely upon third-party providers, including mapping services, communications providers, analytics providers, ratings services, scheduling systems, payment processors, and hosting providers.

PerfectOpponent is not responsible for the content, policies, availability, or actions of third-party services.

## 9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERFECTOPPONENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.

## 10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERFECTOPPONENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SERVICE.

THIS INCLUDES DAMAGES RELATED TO SCHEDULING DECISIONS, TRAVEL, FACILITY AVAILABILITY, GAME RESULTS, CANCELLATIONS, MISCOMMUNICATIONS, OR USER CONDUCT.

## 11. Indemnification

You agree to defend, indemnify, and hold harmless PerfectOpponent, its officers, directors, employees, contractors, and affiliates from claims, damages, liabilities, and expenses arising from:

* Your use of the Service;
* Your violation of these Terms;
* Your violation of applicable law;
* Information submitted by you.

## 12. Termination

PerfectOpponent may suspend or terminate accounts at any time if we believe a user has violated these Terms, created security risks, or engaged in conduct harmful to the Service or other users.

## 13. Changes to the Service

We may modify, suspend, discontinue, or enhance portions of the Service at any time without notice.

## 14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

## 15. Governing Law

These Terms shall be governed by and construed under the laws of the State of New Jersey, without regard to conflict-of-law principles.
